Establishment of Staff Teams
The Foundation may establish operational groups ("Staff Teams") to carry out the day-to-day functions of the Foundation, subject to the oversight and authority of the Board of Directors.
Staff Teams are not governing bodies and shall not exercise corporate powers reserved to the Board under these Bylaws or applicable law.
Enumerated Staff Teams
The Staff Teams of the Foundation shall include, but are not limited to:
- Technology Team – Directed by Zippy
- Trust & Safety Team – Directed by Tali64³
- Operations Team (includes Stewards and Global sysops) – Directed by Globe
The Board may create, dissolve, merge, or rename Staff Teams by resolution.
Staff Team Directors
Each Staff Team shall be led by a Director ("Staff Director"), who shall be responsible for the administration, supervision, and performance of the Staff Team.
Staff Directors shall be appointed by, and serve at the pleasure of, the Board of Directors.
Board Oversight
Each Staff Director shall report to the Board either:
- directly as a member of the Board of Directors, or
- through a Board-appointed liaison or advisor.
Board advisors shall not be Directors and shall not possess voting rights on the Board unless separately appointed as Directors pursuant to these Bylaws.
Scope of Authority
Staff Teams may carry out operational, technical, moderation, safety, and administrative functions as delegated by the Board.
Staff Teams shall not:
- Adopt or amend the Articles of Incorporation or Bylaws;
- Elect, appoint, or remove Directors;
- Bind the Foundation contractually unless expressly authorized (this includes purchases);
- Exercise powers prohibited from delegation under applicable law.
Access to Restricted Information
Members of all teams may be granted access to restricted systems or non-public user information solely as authorized by the Board or its delegated officer.
Access to such systems or information:
- Is conditional and revocable at any time;
- Shall be governed by an NDA that must be signed before access is granted;
- Must follow the Privacy policy at all times.
Appointment to Staff Teams
Any natural person who meets the qualifications established by the Board or the Director of the relevant Staff Team may be appointed as a member of that Staff Team. Qualifications may include experience, expertise, or demonstrated commitment to the Foundation's mission.
Members of a Staff Team are appointed by the Director of that Team, in consultation with the Board. Members of the Operations Team shall be appointed by a vote of 2/3 in favor from at least 5 community members in an election lasting a minimum of 5 days. The Operations Director may remove elected members upon gross misuse of their tools.
Community recommendations may be submitted for consideration, but final appointment authority rests with the Staff Director and Board. The Board reserves the right to veto any appointment recommendation from the community or the Staff Director.
Removal and Suspension
The Board may suspend or remove any Staff Director or Staff Team member, with or without cause, whenever the Board determines such action to be in the best interests of the Foundation, including for legal, security, or safety reasons.
