The WikiOasis Foundation Board is issuing this statement to provide some transparency regarding recent changes to the Board of Directors.
Following a recent situation coming to the attention of the Board regarding the state of Foundation finances, a wider review of the Foundation finances was conducted. During this review, numerous issues with the management and use of Foundation funds were found. As a direct result of this review, the former President has entirely stepped down from their position within the Foundation.
The independent review discovered that the former President had performed multiple unapproved expenditures totaling $385.89, which violated the WikiOasis Foundation Board Policy, which states that “The President shall not carry out expenditures directly unless authorized by resolution of the Board”. The family of the former President made a donation to make the Foundation whole again, and the Board of Directors has chosen to take no legal action at this time. Additionally, all efforts have been made to secure refunds from vendors where unauthorized transactions were made. No other Board members were aware of, or were engaged in, this incident until the review took place.
The Board and Foundation are taking the following steps to ensure that future incidents do not occur:
- Strengthening financial oversight within the Board;
- Reviewing and updating financial statements and preparing to share abridged versions of these statements publicly;
- Reviewing the separation of duties, and accountability for account-keeping;
- Assessing whether additional independent review measures may be required.
The Board wants to uphold the Foundation’s commitment to transparency, through making this statement, and committing to hold up to date abridged statements publicly visible on our platform.
The Foundation’s operations will continue without interruption, and all other members of the Board and Foundation will remain the same. A successor has already been appointed, best known to you as Tali64³, who will continue to lead the Foundation forward.
